The Charter

THE EASTERN OKLAHOMA RAILWAY COMPANY

ORIGINAL ARTICLES OF INCORPORATION,

	We, the undersigned, Henry E Asp, W H Merten, U C Guss 
and J R Cottingham, residents and citizens of the Territory of 
Oklahoma, and Frank T Dolan, a resident and citizen of the 
State of Kansas, do hereby associate ourselves together for the 
purpose of organizing a body politic and corporate, under the laws 
of the Territory of Oklahom, and we do hereby make and certify the 
following articles of organization, viz:

1.
	The name of this corporation is THE EASTERN RAILWAY COMPANY

11.
	This corporation is organized for the purpose of constructing, 
maintaining and operating  a standard gauge railroad, upon the line 
and lines as follows, to-wit:

Line Number one:
	From a connection with the railroad of the Atchison, Topeka 
& Santa Fe Railway Company, at or near the City of Guthrie in 
Logan County, Oklahoma Territory, in an easterly direction to a point 
on the west line ot the Creek Nation in the Indian Territory, to the 
most suitable point on the north line of the Creek Nation, Indian 
Territory, near the confluence of the Cimarron and Arkansas Rivers.

Line Number Two:
	From a connection with the railroad of the Atchison, Topeka 
& Santa Fe Railway Company, between its stations of Bliss and the Salt 
Fork of the Arkansas River in kthe Ponca Indian Reservation, and from 
thence by the way of Pawnee to a point on the north line of the Creek 
Nation, Indian Territory, near the confluence of the Cimarron and 
Arkansas Rivers.

Line Number Three:
	From the most suitable point on Line Number One in Payne County, 
in a northerly and northeasterly direction by the way of Stillwater, 
Pawnee and Pawhuska to a connection with the railroad of the Kansas, 
Oklahoma Central and Southwestern Railway at or near Bartlesville in 
the Cherokee Nation, Indian Territory.

	The estimated length of Line Number One is sixty miles, and 
the names of the counties through or into which it is made, or is 
intended to be made, are the counties of Logan, Payne, and Lincoln in 
the Territory of Oklahoma.

	The estimated length of said railroad described in 
line number two, is sixty-five miles, and the names of each 
county or sub-division in this Territory through or into
which it is to be made, or is intended to be made, is as follows;
Ponca Indian Reservation, the Oroe and Missouri Indian
Reservation and Pawnee County.
	The estimated length of such railroad as is described
by line number three, is ninety-five miles, and the name of each
county and sub-division in this Territory through which it is
to be made, or, is intended to be made, is as follows:  Payne
County, Pawnee County and the Osage Indian Reservation, and the
Cherokee Nation.

IV.

	The place where the principal business ot this corporation
is to be transacted, is the City of Guthrie, Logan
County, Oklahoma Territory.

V.

The term for which this corporation shall exist is
nine hundred and ninety-nine years.

VI.

	The capital stock of this corporation is fixed at
Two Million, Two Hundred Thousand Dollars, and the sazme shall
consist of twenty-two thousand shares of One Hundred Dollars
each.  And all stock to be issued shall consist of Common Stock
only, unless the stockholders shall, hereafter authorize the
issuance of Preferred Stock, as provided by law.

VII.

	The Directors of this corporation who shall manage
its affairs for the first year and until other are chosen in
their places, shall be seven en number, and their names and places
of residence are as follows, to-wit:

Edward P Ripley, 	Chicago, Illinois
Edward D Kenna,		Chicago, Illinois
Frank T  Dolan,		Wichita, Kansas
Henry E Asp,		Guthrie, Oklahoma
U C Guss,		Guthrie, Oklahoma,
W H Merten,		Guthrie, Oklahoma.

	IN WITNESS WEREOF, WE have hereunto subscribed our
names with our places of residence, and do hereby subscribe and
agree  to take the number of shares of stock in this corporation set 
opposite our respective names.
